1. About us

Top1Marketing is a trading name of PSC Marketing Ltd, a company registered in England and Wales under company number 11296786, whose registered office is at 282 Telfer Road, Coventry, England, CV6 3DR.

In these terms, “we”, “us” and “our” mean PSC Marketing Ltd. “You” and “your” mean the person or business using the Website or buying our services.

You can contact us by email at hello@top1marketing.co.uk. When we need to contact you in writing, we will use the email address or WhatsApp number you gave us.

2. Who these terms apply to

These terms apply to everyone who uses the Website and to every order for our services. Some parts apply differently depending on who you are:

  • Business customers are companies, sole traders and other professionals buying our services for their business, trade, craft or profession. Most of our customers fall into this group.
  • Consumers are individuals buying wholly or mainly outside their trade, business, craft or profession. If you are a consumer, you have legal rights that these terms cannot take away. Section 9 explains your main rights, and wherever these terms say something applies only to business customers, it does not reduce your consumer rights.

Where a written proposal, quote or order confirmation we send you includes terms that differ from these, the written proposal, quote or order confirmation takes priority for that order.

3. Using our Website

You may use the Website to learn about our services, book a call, request a demo and download our free resources. When using it, you agree to act lawfully and to avoid anything that could damage, disable or overload the Website, introduce malicious code, or attempt to access parts of it or our systems that you are not authorised to use.

We work to keep the information on the Website accurate and up to date, but examples, illustrations, demos and calculators (including the example view calculations and the cost comparison calculator) are for general guidance only. They are estimates, they depend on assumptions that may differ for your business, and third-party prices they refer to may change. Please check anything important with us before relying on it.

The Website may link to third-party websites, including booking, payment and download pages. We are responsible only for content we control, and you use third-party websites under their own terms and privacy policies.

We may update, suspend or withdraw the Website, or any part of it, at any time for business or operational reasons.

4. Free calls, demos and resources

Consultations and demos booked through the Website are free and come with no obligation to buy. We may reschedule or decline a booking where necessary.

Our free resources (such as the 30-day WhatsApp community message calendar and the 300 Reels system guide) may be delivered through pages hosted on pascaandreea.com, which is also operated by PSC Marketing Ltd. You may use them within your own business and adapt them for your own brand. You may not resell, republish or distribute them as your own product. When you request a free resource, we may add you to our email list as described in our Privacy Policy, and you can unsubscribe at any time using the link in any email.

5. How a contract is formed

After a call or demo, we will confirm in writing (by email or WhatsApp) the service you have chosen, the plan, the price and the payment schedule. A contract between you and us is formed when we send that confirmation and you make the first payment due under it.

All prices are in pounds sterling (GBP). We are not currently registered for VAT, so VAT is not charged on our prices. If you pay from outside the UK, your bank or card provider may add currency conversion or international transaction fees, which you are responsible for.

6. Social Media Reels

6.1 What the service includes

For each monthly cycle, we will:

  • write scripts for 30 hooks, 5 core messages and 2 calls to action, tailored to your business;
  • give you a short filming guide so you can record the separate video parts in one session of around two hours;
  • edit and combine your footage into up to 300 vertical Reel variations suitable for Instagram, Facebook, TikTok and YouTube Shorts; and
  • deliver the edited Reels to you digitally.

The total of 300 variations comes from combining 30 hooks, 5 messages and 2 calls to action. The number of usable variations depends on receiving complete footage for every script element. Where a part is missing or unusable, we will tell you and either ask you to re-record it or reduce the number of combinations accordingly.

6.2 Delivery times

We aim to deliver the full set of Reels within 72 hours of receiving complete, usable footage (and, in your first month, within 72 hours of your approval of the first 10 Reels and the second payment). Delivery times are working targets. Delays caused by late, incomplete or unusable footage, late feedback, or events outside our control will extend them.

6.3 Your responsibilities

You agree to:

  • give us accurate information about your business, products, services and customers;
  • check the scripts before filming and tell us about anything inaccurate, misleading or unsuitable for your business;
  • record the footage following our filming guide, in reasonable quality (clear sound, good light, vertical format);
  • obtain the permission of anyone who appears or is heard in your footage, and the right to film at any location you use;
  • own or have permission to use any logos, images, music, products or other material you include or ask us to include; and
  • make sure that the claims in your Reels comply with the laws and advertising rules that apply to your business and the countries where you publish them (for example the UK CAP Code, or rules for health, financial or other regulated services).

You are responsible for deciding which Reels to publish, when and where, and for complying with the rules of each social media platform.

6.4 First-month payment and guarantee

The first month costs £250, paid in two parts:

  1. £50 is payable once you have filmed and sent us your footage. We then edit the first 10 Reels and send them to you for review.
  2. £200 is payable only if you are happy with the first 10 Reels and want the full set. Once we receive it, we edit and deliver the remaining Reels.

Our guarantee. If you are not happy with the first 10 Reels, tell us by email or WhatsApp within 7 days of receiving them. We will refund your £50 in full, you keep all 10 Reels at no cost, and your order ends with nothing further to pay.

If we hear nothing from you within 14 days of sending the first 10 Reels, we will send you a reminder. If we still hear nothing within 7 days of that reminder, your first-month order closes, you keep the 10 Reels, and you may still ask for the £50 refund within 30 days of the order closing.

The guarantee applies once per customer and business, to the first month only.

6.5 Monthly subscription after the first month

If you continue after the first month, the service becomes a monthly subscription at £250 per month. Each month’s fee is payable every month on the same day of the month as your first payment. If that day does not exist in a given month (for example the 31st), payment is due on the last day of that month. The subscription continues month to month until you cancel.

6.6 Corrections

If a delivered Reel contains an editing error on our part (for example a wrong caption, a typo, a cut in the wrong place or a missing clip), tell us within 7 days of delivery and we will correct it free of charge. Changes to the scripts after filming, re-filming, or a different editing style once the Reels are delivered fall outside the monthly service and may be quoted separately.

6.7 Cancelling your subscription

You can cancel at any time by emailing us or sending us a WhatsApp message. Your subscription ends at the end of the monthly cycle in which you cancel, and you will not be charged again. You keep all the Reels delivered to you. Once we have sent the scripts for a monthly cycle, the fee for that cycle is non-refundable for business customers. Consumers should also read section 9.

6.8 Results

We provide scripting and editing. Views, reach, followers, leads and sales depend on many factors outside our control, including your audience, your offer, how often you post and each platform’s algorithm. We therefore cannot promise any particular result. Figures such as “500 views per Reel” on our Website are illustrative examples only.

6.9 Ownership and use of the Reels

Your raw footage remains yours. Once you have paid in full for a monthly cycle (or, for the first 10 Reels covered by the guarantee, once they are delivered), we assign to you all our rights in the edited Reels and scripts produced for you in that cycle, so you can use them for any lawful purpose, including paid advertising.

We keep ownership of our own methods, templates, frameworks, editing presets and know-how, which we use for other clients. Music, sound effects, fonts or stock elements in the Reels are either licensed by us for your use or taken from the platforms’ own audio libraries. Platform audio is subject to each platform’s rules and may be unavailable for paid ads or in some regions.

We will only show your Reels, name or results in our portfolio, case studies or advertising if you give us permission, and you may withdraw that permission at any time for future use.

7. WA Scheduler

7.1 What the service includes

WA Scheduler is a personal online dashboard that lets you connect the WhatsApp groups and communities you manage, schedule one-off or recurring messages (text, images, videos and polls) to one or several groups at once, save reusable templates, view message history, and import contacts by CSV file to send private messages personalised with each recipient’s first name.

We will set up your dashboard within 48 hours of receiving your setup payment (or your lifetime payment) and the information we need from you. Technical support is included in every plan and is provided by email or WhatsApp during Monday to Friday, 9:00–17:00 UK time. We aim to respond within 24–48 hours. Where an issue needs further investigation, we will let you know and give you an updated timeline.

7.2 Plans and payments

  • Monthly: a one-off £100 setup fee at the start, then £30 per month from the second month, payable every month on the same day of the month as your first payment.
  • Annual: a one-off £100 setup fee at the start, then £300 for 12 months, payable at the start of the second month.
  • Lifetime: a single payment of £600, with setup included.

Monthly and annual plans renew automatically at the end of each paid period until you cancel. We will remind you at least 14 days before an annual plan renews.

7.3 What “lifetime” means

The lifetime plan gives you access to WA Scheduler for as long as we continue to offer the WA Scheduler service, with no further subscription fees. It refers to the life of the service, not of your business or of any individual. If we decide to stop offering WA Scheduler, we will give you at least 90 days’ notice. If that happens within 24 months of your lifetime purchase, we will refund a proportion of the £600 equal to the number of whole months remaining in that 24-month period.

7.4 Cancelling

You can cancel a monthly or annual plan at any time by emailing us or sending us a WhatsApp message. Your access continues until the end of the period you have already paid for, and you will not be charged again. For business customers, the setup fee and any period already started are non-refundable once your dashboard has been set up. Consumers should also read section 9.

7.5 Independence from WhatsApp and Meta

WA Scheduler is an independent service. It is not made, endorsed or supported by WhatsApp or Meta Platforms, Inc., and “WhatsApp” is a trade mark of its owner.

WA Scheduler works by connecting to your own WhatsApp account. Scheduled messages can only be sent while that connection stays active. WhatsApp may change its apps, technology or rules at any time, and it may limit, suspend or ban accounts that it considers to be sending automated, bulk or unwanted messages, even where recipients have agreed to receive them.

By using WA Scheduler you accept these risks. We cannot guarantee that every message will be delivered, that the service will remain compatible with WhatsApp at all times, or that your WhatsApp account will not be restricted. To the extent permitted by law, we are not responsible for any restriction, suspension or loss of your WhatsApp account, groups or contacts.

We recommend that you keep your messaging volumes reasonable, use a number dedicated to your business, and keep your own copies of important contacts and content.

7.6 Acceptable use

You must only use WA Scheduler lawfully and responsibly. In particular, you agree to:

  • only connect groups and communities that you administer or have permission to post in;
  • only import and message contacts who have agreed to receive messages from you on WhatsApp, and keep a record of that agreement;
  • stop messaging anyone who asks you to stop, promptly and without charge to them;
  • comply with data protection and electronic marketing laws that apply to you and your recipients (including the UK GDPR, the Privacy and Electronic Communications Regulations and, for recipients in the EU, the EU GDPR and local rules), and with WhatsApp’s terms and policies; and
  • keep your login details secure and tell us straight away if you think someone else has accessed your dashboard.

You must not use WA Scheduler to send spam, purchased or scraped contact lists, unlawful, harassing, hateful, sexually explicit, deceptive or misleading content, malware, or content that infringes anyone else’s rights. We may suspend your access without notice if we reasonably believe you are breaching this section, and we will tell you why.

7.7 Availability

We aim to keep WA Scheduler available at all times, but it may occasionally be unavailable because of maintenance, updates, problems with our hosting or other providers, loss of the WhatsApp connection or events outside our control. Where we plan maintenance, we will try to give you notice and carry it out at quiet times.

8. Data you upload to WA Scheduler

When you use WA Scheduler, you decide which contacts, groups and messages it handles. For that personal data, you are the controller and we are your processor. This section forms the data processing agreement between us required by Article 28 of the UK GDPR (and, where it applies, the EU GDPR).

  • Subject matter and duration: providing WA Scheduler to you, for as long as your account is active and until the data is deleted as described below.
  • Nature and purpose: storing, organising and sending messages and contact data on your instructions.
  • Types of data: names, phone numbers, group names and membership information, message content, message logs and any other data you choose to upload.
  • Data subjects: your contacts, customers, prospects and members of your groups.

We will:

  • process this data only on your documented instructions (which include using WA Scheduler as designed), unless the law requires otherwise, in which case we will tell you first where the law allows;
  • make sure anyone authorised to process it is bound by confidentiality;
  • take appropriate technical and organisational security measures, including access controls and encrypted connections;
  • only use sub-processors (such as our hosting provider) under written terms that give the same level of protection, and tell you before adding or replacing one so that you can object;
  • only transfer the data outside the UK with appropriate safeguards in place;
  • help you, where reasonable, to respond to requests from individuals exercising their rights and to meet your security, breach notification and impact assessment obligations;
  • tell you without undue delay after becoming aware of a personal data breach affecting your data;
  • at the end of the service, delete your data within 30 days (or return it to you first if you ask before the end), unless the law requires us to keep it; and
  • make available the information you reasonably need to show compliance with this section, and allow for and contribute to reasonable audits on notice.

You confirm that you have a lawful basis for uploading the data and for the messages you send, and that you have given recipients the information the law requires.

9. Your rights if you are a consumer

This section applies only if you are a consumer (see section 2).

9.1 Your right to cancel within 14 days

Because you buy from us at a distance, you normally have the right to cancel a contract within 14 days of the day it is formed, without giving a reason. To cancel, send us a clear statement by email to hello@top1marketing.co.uk before the 14 days end.

Our services usually start within those 14 days, so we will ask you to confirm that you want us to begin straight away. If you do, and then cancel within the 14 days, we may deduct an amount for the work done up to the time you told us you were cancelling. Once a service has been fully performed at your request within those 14 days, you will lose the right to cancel it.

We will refund any amount due within 14 days of receiving your cancellation, using the same payment method you used.

9.2 Your other legal rights

Under the Consumer Rights Act 2015, services must be carried out with reasonable care and skill and as described. If something goes wrong, you can ask us to repeat or fix the service, or, if we cannot, you may be entitled to a price reduction. These terms leave all of your legal rights unaffected. For more information, visit Citizens Advice at citizensadvice.org.uk.

10. Payments and price changes

We accept payment by card through Stripe and by PayPal, via our WooCommerce checkout or a payment link we send you. Payments are processed securely by Stripe or PayPal, and we never see or store your full card details.

If a payment is late, we may pause work on your Reels or suspend your WA Scheduler access until it is received, after giving you at least 7 days’ notice. For business customers, we may also charge interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.

We may change our prices for subscriptions. We will give you at least 30 days’ notice before a new price applies to you, and you may cancel before it takes effect. Lifetime purchases are unaffected by later price changes.

11. Intellectual property

We, or our licensors, own all intellectual property rights in the Website, its design, text, graphics and code, in our free resources, and in the WA Scheduler software. Apart from the rights given to you in sections 4, 6.9 and 7, these terms give you no rights in them. You must not copy, reverse engineer, resell or create competing products from WA Scheduler or our materials.

You keep all rights in the content you give us (including footage, logos and messages) and give us permission to use it only as needed to provide our services to you.

12. Confidentiality

Each of us will keep confidential any non-public information the other shares about its business, customers or plans, and will only use it to perform or benefit from our contract. This does not cover information that is already public, that the receiving party already had lawfully, or that the law requires to be disclosed.

13. Our liability to you

Our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for anything else that cannot legally be limited or excluded remains unaffected by these terms.

13.1 If you are a business customer

  • We will not be liable to you for any loss of profit, revenue, sales, business, contracts, goodwill or anticipated savings, for loss or corruption of data (except where caused by our breach of section 8), or for any indirect or consequential loss.
  • Our total liability to you arising out of or in connection with any contract with us, whether in contract, tort (including negligence) or otherwise, is limited to the total fees you paid us under that contract in the 12 months before the event giving rise to the claim.
  • Except as expressly set out in these terms, all terms implied by law are excluded to the fullest extent permitted.

13.2 If you are a consumer

We are responsible for loss or damage you suffer that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. Loss or damage is foreseeable if it is obvious that it will happen or if, at the time the contract was made, both of us knew it might happen. Since our services are intended for business use, we are not liable to you for any loss of profit, loss of business, business interruption or loss of business opportunity.

14. Suspension and termination

We may suspend or end a service by notice to you if you seriously or repeatedly breach these terms (including section 7.6), fail to pay an amount due within 14 days of a reminder, or use our services unlawfully. Where a breach can be put right, we will first give you a reasonable opportunity to do so.

Ending a contract leaves unaffected any rights either of us already has, and any amounts already due remain payable. Sections 6.9, 8 (until your data is deleted), 11, 12, 13 and 17 to 18 continue to apply after a contract ends.

15. Events outside our control

We are not responsible for delays or failures caused by events outside our reasonable control, such as internet or power failures, failures of hosting or platform providers, changes made by WhatsApp, Meta or other platforms, illness, extreme weather or government action. If such an event happens, we will tell you as soon as possible and do what we reasonably can to reduce its effect. If it continues for more than 30 days, either of us may end the affected service, and we will refund any amount paid for services not provided.

16. Complaints

If you are unhappy with anything we have done, please email hello@top1marketing.co.uk with a short description of the problem. We will acknowledge your complaint within 3 working days and aim to resolve it within 14 days.

17. General

  • Changes to these terms: we may update these terms from time to time. The version on the Website when you place an order applies to that order. For ongoing subscriptions, we will give you at least 30 days’ notice of any change that affects you materially, and you may cancel before it takes effect.
  • Entire agreement: these terms, together with our written order confirmation, are the whole agreement between us for each order and replace any earlier discussions, except in the case of fraud.
  • Transfer: we may transfer our rights and obligations to another organisation, and will tell you if this happens. You may only transfer yours with our written consent.
  • Third parties: only you and we have rights under these terms. The Contracts (Rights of Third Parties) Act 1999 does not apply.
  • Severability: if a court finds part of these terms invalid, the rest will continue to apply.
  • Delay: a delay in enforcing these terms will not stop either of us from enforcing them later.
  • Notices: we may give you notices by email or WhatsApp using the details you gave us, and you may give notices to us at hello@top1marketing.co.uk.

18. Governing law

These terms and any dispute or claim arising out of or in connection with them are governed by the law of England and Wales.

If you are a business customer, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you may bring proceedings in the courts of England and Wales, or, if you live in Scotland or Northern Ireland, in your local courts. If you are a consumer living in the European Union, you also keep the protection of the mandatory consumer laws of the country where you live and may bring proceedings there.
